When is a company dormant for Companies House?
When it had no significant transactions in the financial year. Filing fees, penalties and paying for shares when the company was formed do not count.
What does it file?
Accounts and a confirmation statement each year. A dormant company that is also small can file dormant accounts with no audit.
What is form AA02?
The dormant accounts form for a company limited by shares that has never traded and whose only transaction was issuing the subscriber shares. It can be filed online or on paper.
When is a company dormant for HMRC?
When it is not trading and has no other income, for example a new company that has not started trading or some flat management companies.
Does a dormant company file a CT600?
Only if HMRC has sent a notice to deliver a Company Tax Return. Once HMRC knows the company is dormant, no more returns are needed unless a new notice arrives.
